1. Acceptance of Terms

By creating an account, accessing, or using Roomspo ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and Roomspo.

We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must meet the following requirements to use Roomspo:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

• Email Required: You must provide a valid email address to create an account
• Account Security: You are responsible for maintaining the confidentiality of your account credentials
• Unauthorized Access: Notify us immediately if you suspect unauthorized access to your account
• One Account Per User: You may not create multiple accounts to circumvent usage limits or trial restrictions
• Account Accuracy: You must keep your account information accurate and up-to-date

4. Service Description

Roomspo is an AI-powered interior design tool that generates photorealistic room redesigns based on uploaded images and user preferences. The Service includes:

• AI-powered room image generation using Google Gemini
• Multiple design styles (Japandi, Scandinavian, Modern, etc.)
• Customization options (paint, furniture, lighting, full redesign)
• Credit-based usage system
• Subscription plans with monthly credit allocations
• Free trial (1 render per email/device combination)

5. Subscription Plans & Billing

5.1 Subscription Plans

We offer the following subscription tiers:

• Starter: $19.95/month - 30 credits/month
• Pro: $49.95/month - 120 credits/month
• Studio: $129/month - 400 credits/month

5.2 Billing Terms

• Recurring Charges: Subscriptions automatically renew monthly unless canceled
• Payment Processing: All payments are processed securely through Stripe
• Price Changes: We reserve the right to change pricing with 30 days' notice
• Taxes: Prices exclude applicable taxes, which will be added at checkout
• Failed Payments: Service may be suspended if payment fails; account may be terminated after repeated failures

5.3 Free Trial

• New users receive 1 free render without payment information
• Trial eligibility is determined by email address, IP address, and device fingerprint
• One trial per user/device combination per 24-hour period
• Trial abuse may result in account suspension

6. Credits System

6.1 How Credits Work

• 1 Credit = 1 Image: Each AI-generated room design costs 1 credit
• Monthly Allocation: Credits are allocated at the start of each billing cycle
• No Rollover: Unused credits expire at the end of each billing cycle
• No Refunds: Credits are non-refundable once allocated
• Real-Time Tracking: Your credit balance is displayed in the Studio

6.2 Credit Deduction

• Credits are deducted when image generation begins
• Failed generations due to system errors will be refunded
• Failed generations due to user error (invalid images, prohibited content) will not be refunded

7. Acceptable Use Policy

Violation of this policy may result in immediate account suspension or termination without refund. See our Acceptable Use Policy for details.

8. Intellectual Property Rights

8.1 Your Content

• You Own Your Uploads: You retain all rights to images you upload
• License to Process: You grant us a limited license to process your images through our AI service
• You Own Generated Images: You own the AI-generated output images created from your uploads
• Commercial Use Allowed: You may use generated images for personal or commercial purposes

8.2 Our Content

• Platform Ownership: Roomspo owns all rights to the Service, including software, design, and branding
• Trademarks: "Roomspo" and our logo are trademarks and may not be used without permission
• No License: These Terms do not grant you any rights to our intellectual property except as explicitly stated

8.3 AI Training

Your uploaded images are NOT used to train our AI models without explicit consent. Generated images may be used for quality improvement and service analytics in anonymized form.

9. Service Availability & Limitations

9.1 Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for downtime caused by third-party services (Stripe, Gemini API, etc.)

9.2 AI Limitations

10.1 Termination by You

• You may cancel your subscription at any time through the Stripe billing portal
• Cancellation takes effect at the end of the current billing cycle
• You retain access to your credits until the end of the billing period
• No refunds for partial months

10.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• Your payment method fails repeatedly
• We detect fraudulent or abusive activity
• Required by law or legal process
• We discontinue the Service (with 30 days' notice)

Termination for cause (violations) results in immediate loss of access without refund.

12. Indemnification

You agree to indemnify, defend, and hold harmless Roomspo and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights (including intellectual property rights)
• Content you upload or generate

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. For users outside the United States, local consumer protection laws may also apply.

13.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except for claims that may be brought in small claims court.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Roomspo
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• No Waiver: Failure to enforce any provision does not waive our right to enforce it later
• Assignment: You may not assign these Terms; we may assign them without notice
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
